This Vendor Agreement (“Agreement”) is entered into between CodePlux (“Platform”, “we”, “our”, or “us”) and you (“Vendor”, “Seller”, or “you”) upon registration as a vendor on our platform.
By registering and selling on CodePlux, you agree to comply with the following terms.
1. 📌 Eligibility
- You must be at least 18 years old to become a vendor.
- You must provide accurate and complete registration information.
- You are responsible for maintaining your account credentials.
2. 🛍️ Vendor Responsibilities
As a vendor, you agree to:
- Upload only products you own or have legal rights to sell
- Ensure all products are original and not infringing on any third-party rights
- Provide accurate product descriptions, previews, and documentation
- Offer reasonable support to buyers (where applicable)
- Keep your products updated and functional
3. 📦 Product Submission & Approval
- All products must be submitted for review before being published
- CodePlux reserves the right to approve, reject, or remove any product
- Products that are low-quality, harmful, or violate policies will be rejected
4. 💰 Pricing & Commission
- Vendors set their own product prices unless otherwise specified
- CodePlux will charge a commission on each sale (e.g., 10%–30%)
- Commission rates may be updated with prior notice
5. 💳 Payments & Payouts
- Payments from customers are processed through the platform
- Vendor earnings are credited to your account balance
- Payouts are made based on the platform’s payout schedule (e.g., weekly/monthly)
- Minimum payout threshold may apply
6. 🔄 Refunds & Disputes
- Vendors agree to comply with the platform’s refund policy
- If a refund is issued, the corresponding amount will be deducted from the vendor’s balance
- Vendors are expected to cooperate in resolving customer disputes
7. 📜 Licensing
- Vendors must clearly define the license terms for each product
- Buyers are granted usage rights based on the selected license
- Vendors retain ownership of their products unless otherwise stated
8. 🚫 Prohibited Content
Vendors must NOT upload:
- Pirated or copied content
- Malware, viruses, or harmful code
- Illegal or unethical content
- Misleading or false product listings
9. 🔐 Intellectual Property
- Vendors retain ownership of their products
- By uploading products, vendors grant CodePlux a non-exclusive license to display, promote, and distribute the product on the platform
10. ⭐ Ratings & Reviews
- Buyers can rate and review products
- Vendors must not manipulate ratings or post fake reviews
11. 📉 Account Suspension & Termination
CodePlux reserves the right to suspend or terminate vendor accounts if:
- Terms are violated
- Fraudulent activity is detected
- Repeated customer complaints occur
12. ⚠️ Limitation of Liability
CodePlux is not responsible for:
- Loss of revenue or profits
- Product misuse by buyers
- Technical issues caused by vendor products
13. 🌍 Taxes & Legal Compliance
- Vendors are responsible for complying with their local tax laws
- Vendors are responsible for reporting and paying applicable taxes
14. 🔄 Changes to Agreement
We may update this Agreement at any time. Continued use of the platform indicates acceptance of the updated terms.
